Terms and Conditions

Last updated: September 20, 2026

These Terms and Conditions (“Terms”) govern your access to and use of Ardi, a software-as-a-service transcription product available at ardiapp.com and dash.ardiapp.com, operated by DritaLabs e.U.

By creating an account, accessing Ardi, or using the Service, you agree to these Terms. If you do not agree to these Terms, you must not use Ardi.

1. About Us

When these Terms refer to “DritaLabs,” “Ardi,” “we,” “us,” or “our,” they refer to:

DritaLabs e.U.
Owner: Drilon Buzuku
Flachgasse 24/18
1150 Vienna
Austria

Company Registration Number: FN 684454a
VAT ID: ATU83474535
Email: drilon.buzuku@dritalabs.com

When these Terms refer to “you” or “your,” they mean the individual or legal entity using Ardi.

“Service” or “Ardi” means the Ardi websites, dashboard, transcription functionality, software, features, and related services provided by DritaLabs.

2. The Service

Ardi is a software-as-a-service platform that allows users to upload or otherwise provide supported audio, recordings, and related content for automated transcription and related processing.

Ardi offers a free tier as well as paid functionality.

Features, functionality, usage limits, supported formats, storage limits, processing limits, seat availability, and other aspects of the Service may differ between plans and may change over time in accordance with these Terms and applicable law.

Transcription accuracy

Transcription is an automated process.

Generated transcripts and other outputs may contain mistakes, omissions, incorrect words, incorrect punctuation, misinterpretations, incorrect speaker attribution, formatting errors, or other inaccuracies.

DritaLabs does not guarantee that transcripts or other generated outputs are complete, accurate, error-free, or suitable for any particular purpose.

You are responsible for reviewing and verifying transcripts and other outputs before relying on, publishing, distributing, or otherwise using them.

Ardi does not provide certified or independently verified transcripts.

3. Accounts

You must create an account to use Ardi.

You are responsible for providing accurate information where requested and for keeping relevant account information reasonably up to date.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

You must not share credentials in a manner that compromises the security of the Service.

If you become aware of unauthorized access to or use of your account, you should notify us promptly.

You may not create accounts through unauthorized automated methods, circumvent account restrictions, evade usage or seat limits, or otherwise obtain access to the Service in a manner not intended or authorized by DritaLabs.

4. Users Under the Age of Majority

Ardi is not restricted exclusively to users aged 18 or older.

If you are not legally capable of entering into these Terms on your own under the law applicable to you, you may use Ardi only with the authorization or involvement of a parent, legal guardian, or other person legally authorized to act on your behalf where such authorization is required.

We may restrict access where reasonably necessary to comply with applicable laws concerning minors or children’s personal data.

5. Free Tier

Ardi provides or may provide a free tier that can be used without purchasing a paid subscription.

Unless expressly stated otherwise, the free tier is not a time-limited trial.

The free tier may be subject to limitations concerning transcription time, usage, file sizes, storage, processing, features, supported formats, or other resources.

DritaLabs may modify the features, functionality, availability, or usage limits of the free tier over time.

Unless otherwise required by applicable law, providing a free tier does not create an obligation for DritaLabs to maintain any particular free feature, allowance, or usage limit indefinitely.

6. Paid Subscriptions and Billing

Ardi offers paid subscriptions on a monthly basis.

Paid subscriptions are billed in advance for each monthly billing period and automatically renew each month unless cancelled before the applicable renewal date.

Payments are processed through Polar, a third-party payment provider. Payment processing may therefore also be subject to applicable terms and privacy practices of the payment provider.

By purchasing a paid subscription, you authorize the applicable payment provider to charge the amount displayed to you during checkout, including applicable taxes where required.

Prices, applicable taxes, billing frequency, usage allowances, seat availability, and the principal features of the selected subscription will be displayed before you complete your purchase.

Ardi Pilot and future plans

Certain subscription plans may be subject to capacity or availability limitations.

In particular, Ardi Pilot is a limited-availability plan with a limited number of seats. Availability of Ardi Pilot is therefore not guaranteed.

DritaLabs may close Ardi Pilot to new subscriptions when available capacity has been reached or otherwise discontinue offering the plan to new customers.

DritaLabs may introduce additional subscription plans in the future.

Different plans may have different prices, usage allowances, features, limits, eligibility requirements, seat limits, or other conditions.

The introduction of a new subscription plan does not entitle existing users to receive that plan at the price or conditions of another plan.

Price changes

DritaLabs may change the price of an existing subscription plan.

A price change will not retroactively affect a billing period that has already been paid for.

If we increase the recurring price applicable to your existing subscription, we will notify you at least two months before the new price takes effect.

The new price will apply no earlier than a subsequent renewal following that notice period.

Where applicable law requires your consent to a price or contractual change, we will obtain that consent. Any mandatory rights to reject a change, cancel a subscription, or terminate a contract remain unaffected.

7. Cancellation

You may cancel your paid subscription at any time using the functionality provided by Ardi or its payment provider.

Cancellation prevents the subscription from renewing for the next monthly billing period.

Unless otherwise required by applicable law, cancellation does not immediately terminate access to paid functionality for which you have already paid.

Your paid subscription will remain active until the end of your current paid billing period. It will then cease to renew.

Where available, you may continue using Ardi under the free tier after your paid subscription ends.

Cancelling a paid subscription is not the same as deleting your Ardi account.

Cancelling a subscription alone does not instruct DritaLabs to delete your account or User Content.

8. Refunds and Consumer Withdrawal Rights

Except where required by applicable law, payments for Ardi subscriptions are non-refundable.

We do not provide refunds or credits merely because:

Nothing in these Terms excludes, restricts, or waives any statutory withdrawal, refund, cancellation, warranty, conformity, or other consumer right that cannot lawfully be excluded or restricted.

Statutory withdrawal rights

If you are a consumer and applicable law grants you a statutory right to withdraw from a distance contract, including under the Austrian Fern- und Auswärtsgeschäfte-Gesetz (“FAGG”), that statutory right remains unaffected.

Where you expressly request that DritaLabs begin providing the paid Service before the applicable statutory withdrawal period has expired, DritaLabs may begin providing the Service immediately.

If you subsequently exercise a valid statutory right of withdrawal after expressly requesting that performance begin during the withdrawal period, you may, to the extent permitted by applicable law, be required to pay a proportionate amount for services already provided up to the time at which you informed us of your withdrawal.

The proportionate amount will be determined in accordance with applicable law based on the contractually agreed price and the extent of the services already provided.

Usage of Ardi, including transcription or other metered processing performed before withdrawal, may be taken into account when determining the extent of services already provided, to the extent legally permissible.

If a consumer validly withdraws after expressly requesting that the Service begin during the withdrawal period, the amount payable for services already provided may take into account both the elapsed subscription period and any transcription capacity actually consumed, insofar as permitted by applicable law. The amount charged will not exceed the proportion of the €14 subscription price corresponding to the Service actually provided before withdrawal.

DritaLabs will not impose such a proportionate payment where the statutory requirements allowing that payment have not been satisfied.

Where applicable law provides for loss or expiry of a statutory withdrawal right following complete performance of a service or in relation to particular digital content, such loss or expiry will apply only where all statutory requirements have been satisfied.

Any refund legally due following a valid withdrawal may therefore be reduced by an amount that the consumer is legally required to pay for services already provided, but only to the extent permitted by applicable law.

Information concerning statutory withdrawal rights, requests for performance during a withdrawal period, and any legally required withdrawal instructions or forms may be provided separately during checkout or following conclusion of the contract.

9. User Content

“User Content” means recordings, audio, files, text, transcripts, information, or other material that you upload, submit, store, transmit, or otherwise provide through Ardi.

You retain ownership of your User Content.

DritaLabs does not acquire ownership of your User Content merely because you use Ardi.

You grant DritaLabs a limited, non-exclusive right to host, copy, transmit, process, convert, analyze, store, and otherwise technically use User Content only to the extent reasonably necessary to operate, secure, maintain, improve the technical operation of, and provide the Service to you.

This permission does not transfer ownership of your User Content to DritaLabs.

10. No AI Training on User Content

DritaLabs does not use User Content to train AI or machine learning models.

Recordings, uploaded content, and transcripts processed through Ardi are not intentionally used by DritaLabs as training datasets for AI models.

Our handling of personal data is additionally governed by our Privacy Policy and, where applicable, data-processing agreements.

11. Your Responsibility for Recordings and Content

You are responsible for the User Content you provide to Ardi.

You are responsible for ensuring that your recording, collection, uploading, storage, transcription, processing, sharing, and other use of User Content is lawful.

You must have all rights, permissions, authorizations, consents, and legal bases required by applicable law to process User Content through Ardi.

This is particularly important where recordings contain another person’s voice, conversations, personal data, confidential information, copyrighted material, trade secrets, or other legally protected information.

Ardi does not grant you permission to record another person.

The fact that Ardi technically allows you to upload or process a recording does not mean that recording, uploading, transcribing, storing, or otherwise processing that material is lawful.

Recording, interception, privacy, confidentiality, and data-protection laws differ between jurisdictions.

You are responsible for determining and complying with the laws applicable to you, your recordings, and the people whose information you process.

You must not use Ardi to record, upload, process, store, or distribute content where doing so would violate applicable law or the rights of another person.

12. Sensitive and Confidential Content

Ardi may be used with confidential, business, personal, or otherwise sensitive material provided that your processing of that material is lawful and complies with these Terms.

You remain responsible for determining whether Ardi is appropriate for your particular use case and whether additional legal, contractual, professional, regulatory, organizational, or security requirements apply to you.

Unless DritaLabs expressly agrees otherwise in writing, use of Ardi does not constitute a representation that the Service satisfies specialized regulatory or professional requirements applicable to your particular industry or activity.

13. Acceptable Use

You may not use Ardi to violate applicable law or the rights of another person.

In particular, you must not:

  1. upload or process content that you do not have the legal right or necessary authorization to process;
  2. infringe intellectual property, privacy, confidentiality, data-protection, publicity, or other rights;
  3. use Ardi for fraud, unlawful harassment, threats, exploitation, or other unlawful activity;
  4. distribute malware or malicious code through the Service;
  5. attempt to gain unauthorized access to Ardi, another user’s account, DritaLabs infrastructure, or systems connected to the Service;
  6. interfere with, disrupt, overload, probe, scan, attack, or compromise the Service or its security mechanisms;
  7. circumvent or attempt to circumvent usage limits, subscription restrictions, seat limits, technical safeguards, payment requirements, or access controls;
  8. use automated methods in a manner that materially interferes with the Service or exceeds access made available to you;
  9. impersonate another person or misrepresent your authority to act on behalf of another person;
  10. use Ardi to facilitate activity that is illegal under applicable law; or
  11. resell, sublicense, or commercially exploit access to Ardi except where DritaLabs has expressly authorized such activity.

Nothing in these Terms prohibits conduct that applicable law gives you a non-waivable right to perform.

14. Privacy and Data Protection

DritaLabs processes personal data in accordance with applicable data-protection law, including the General Data Protection Regulation (“GDPR”) where applicable, and our Privacy Policy.

DritaLabs uses third-party infrastructure and technology providers to operate Ardi, including European service providers such as hosting, networking, storage, content-delivery, and related infrastructure providers.

The specific service providers used to operate Ardi may change as our infrastructure evolves.

Where third parties process personal data on behalf of DritaLabs, we take appropriate measures as required by applicable data-protection law.

Where DritaLabs processes personal data on behalf of a business customer and Article 28 GDPR applies, an appropriate Data Processing Agreement (“DPA”) may apply.

These Terms do not replace our Privacy Policy or an applicable DPA.

15. Data Deletion

You may request or initiate deletion of your Ardi account using functionality made available through the Service or by contacting DritaLabs where necessary.

Following account deletion, User Content associated with the account will be deleted from our active systems within 30 days.

Some information may be retained for longer where reasonably necessary or legally required, including for legal, tax, accounting, fraud-prevention, security, dispute-resolution, or enforcement purposes.

Residual copies may temporarily remain in backups or disaster-recovery systems and will be deleted or overwritten in accordance with applicable backup-retention cycles, subject to legal obligations.

Cancelling a paid subscription alone does not constitute an instruction to delete your account or User Content.

16. Intellectual Property in Ardi

Except for User Content and third-party materials, DritaLabs and its licensors retain all rights, title, and interest in Ardi, including its software, website, dashboard, design, branding, interfaces, functionality, documentation, and other intellectual property.

Your use of Ardi does not transfer ownership of the Service or DritaLabs intellectual property to you.

Subject to these Terms, DritaLabs grants you a limited, non-exclusive, non-transferable, and revocable right to access and use Ardi for its intended purpose.

You may not copy, reproduce, sell, license, redistribute, or commercially exploit Ardi or substantial portions of it except as permitted by applicable law or expressly authorized by DritaLabs.

17. Third-Party Services

Ardi relies on third-party infrastructure, payment, networking, hosting, storage, content-delivery, and other technology providers.

Certain parts of the Service may therefore depend on systems outside DritaLabs’ direct control.

DritaLabs is not responsible for independent third-party services or failures attributable solely to such third parties to the extent permitted by applicable law.

Nothing in this section limits rights or remedies that cannot lawfully be excluded.

18. Changes to the Service

DritaLabs continually develops Ardi and may add, modify, replace, or remove features and functionality.

We may change technical requirements, supported formats, integrations, storage limits, transcription limits, usage allowances, free-tier allowances, subscription features, interfaces, and other aspects of the Service.

We will take reasonable steps to communicate material changes where appropriate or required by applicable law.

Where a change materially affects an ongoing consumer contract, any mandatory rights concerning notice, conformity, continued access, termination, or other remedies remain unaffected.

19. Availability, Maintenance, and Errors

DritaLabs aims to provide a reliable Service, but uninterrupted availability cannot be guaranteed.

Ardi may occasionally be unavailable because of maintenance, updates, technical failures, network problems, third-party outages, security incidents, circumstances outside our reasonable control, or other operational reasons.

Unless DritaLabs expressly agrees otherwise in writing, Ardi is not provided subject to a guaranteed service-level agreement.

We do not guarantee that the Service will operate continuously or entirely without bugs, errors, delays, or interruptions.

This does not affect statutory guarantees, conformity requirements, or other mandatory rights applicable to consumers.

20. Transcription Accuracy and Reliance

Automated transcription can make mistakes.

Audio quality, background noise, multiple speakers, accents, dialects, specialized terminology, language, recording equipment, connectivity, and other technical factors may affect transcription quality.

You are responsible for checking transcripts and other outputs before relying on them.

To the extent permitted by applicable law, DritaLabs is not responsible for decisions or actions taken solely in reliance on an unverified transcript or other generated output.

You should use appropriate independent verification where transcription accuracy is important, including in legal, medical, financial, employment, compliance, contractual, or other high-impact contexts.

Ardi is not a substitute for professional verification where such verification is appropriate or legally required.

21. Suspension and Termination

DritaLabs may suspend, restrict, or terminate access to Ardi where reasonably necessary, including where:

Where appropriate and reasonably possible, we may provide notice or an opportunity to remedy a violation before termination.

We may act immediately where reasonably necessary because of serious abuse, illegality, fraud, security risks, attacks on the Service, or other circumstances requiring urgent action.

Mandatory consumer rights concerning suspension, termination, notice, refunds, or access to data remain unaffected.

22. Disclaimer

Ardi is provided subject to these Terms and any statutory rights applicable to you.

To the maximum extent permitted by applicable law, DritaLabs does not provide additional guarantees that Ardi will meet every individual requirement, generate perfectly accurate transcripts, be continuously available, or operate entirely without bugs or interruptions.

Nothing in these Terms excludes statutory warranties, guarantees, conformity requirements, remedies, or other rights that cannot lawfully be excluded.

23. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

In particular, these Terms do not exclude or limit liability for intentional misconduct, personal injury where exclusion is prohibited, or any other liability that cannot legally be excluded or limited.

For consumers, statutory consumer rights and mandatory liability provisions remain unaffected.

For users acting in the course of a business or profession, and to the extent permitted by applicable law, DritaLabs will not be liable for indirect or consequential losses, loss of profits, loss of anticipated savings, loss of business opportunities, loss arising from reliance on an unverified transcription, or similar commercial losses.

Any limitation or exclusion contained in these Terms applies only to the extent permitted by applicable law.

24. Business Users

If you use Ardi on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

Additional agreements, including a Data Processing Agreement or individually negotiated commercial terms, may apply to certain business customers.

If an individually executed written agreement between you and DritaLabs expressly conflicts with these Terms, that individually executed agreement will control to the extent of that conflict.

Consumer-specific statutory rights described in these Terms apply only where the user qualifies as a consumer under applicable law.

25. Changes to These Terms

DritaLabs may update these Terms from time to time to reflect changes to Ardi, our business, applicable law, security requirements, or commercial practices.

When we make a material change affecting existing users, we will take reasonable steps to provide notice where appropriate or required by applicable law, such as through Ardi or by email.

Changes will apply from the effective date communicated with the updated Terms.

Where applicable law requires your consent to a contractual change, we will obtain that consent rather than treating publication of updated Terms or continued use alone as consent.

Your mandatory statutory rights concerning contractual modifications remain unaffected.

For clarity, the specific two-month notice commitment in Section 6 applies to increases in the recurring price of an existing subscription.

26. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Austria, excluding its conflict-of-law rules to the extent such exclusion is legally permissible.

If you are a consumer, this choice of law does not deprive you of mandatory consumer protections that you are entitled to under applicable law and that cannot validly be excluded by agreement.

Nothing in these Terms restricts a consumer’s right to bring proceedings before a court having jurisdiction under mandatory applicable law.

For disputes with users acting in the course of a business or profession, the competent courts in Vienna, Austria shall have jurisdiction to the extent such a jurisdiction agreement is legally permissible.

27. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will apply only to the maximum extent legally permissible.

The validity and enforceability of the remaining provisions will not be affected unless applicable law requires otherwise.

28. No Waiver

If DritaLabs does not immediately exercise or enforce a right under these Terms, that does not automatically mean that DritaLabs has waived that right.

29. Entire Agreement

These Terms, together with the Privacy Policy and any other terms or agreements expressly incorporated into them, form the agreement governing your use of Ardi.

Where a separate written agreement validly applies to a particular customer or service, that agreement may supplement or, where expressly stated, override relevant provisions of these Terms.
